Terms of Service for r5i.digital
Last Updated: October 8, 2025
Please read these Terms of Service ("Terms") carefully before using the r5i.digital website or engaging our digital marketing and growth services (strategy, SEO, paid media, lifecycle marketing, analytics, and campaign execution). By requesting services or using our site you agree to these Terms.
Scope of Services
We offer strategy, channel audits, campaign planning, creative and messaging recommendations, paid media management, SEO, marketing automation, and analytics implementation/support. Specific deliverables and scope are defined in statements of work, quotes, onboarding plans, or invoices. We do not provide legal, accounting, or regulated compliance advice unless explicitly contracted in writing.
Estimates, Quotes, and Acceptance
Estimates or quotes provided are based on the information available at the time. Additional scope discovered during audits, implementation planning, or campaign execution may change the final cost. Work will proceed only after you authorize the work or accept the provided quote. Expedited or after-hours requests may incur additional fees.
Appointments and Cancellations
Appointments may be scheduled online, by phone, or email. A planning, audit, or workshop fee may apply based on the selected session type. Cancellations should be made 24 hours in advance to avoid cancellation fees. We reserve the right to cancel or reschedule due to team availability or unforeseen operational constraints.
Payment and Taxes
Payment is due at service completion unless otherwise agreed to in writing. Accepted payment methods will be listed on invoices. You are responsible for any applicable sales or use taxes, duties, and fees.
Client Responsibilities
- Access: Provide required access to relevant tools and platforms (analytics, ad accounts, CMS, CRM) needed to deliver services.
- Authorization: You confirm you are authorized to grant account access and approve work on behalf of your organization.
- Accurate Information: Provide full and accurate business context, constraints, and performance data required for planning and execution.
Service Delivery and Account Access
Work is primarily delivered remotely. We may request temporary account access to configure tools, launch campaigns, and verify implementation. Access is limited to the scope of work and revoked upon request or project completion.
Warranties and Returns
Marketing outcomes depend on factors outside our control, including market conditions, competition, platform policy changes, offer quality, and client-side implementation velocity. Unless explicitly stated in writing, we do not guarantee specific ranking, revenue, or lead-volume outcomes.
Limitation of Liability
To the fullest extent permitted by law, r5i.digital and its team will not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of business, lost profits, or interruption of business. Our maximum aggregate liability for direct damages arising from our services will not exceed the total fees paid by you for the specific service that gave rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless r5i.digital, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your violation of these Terms or your negligence.
Intellectual Property
All content on the website, including text, graphics, logos, and images, is our property or used with permission. You may not reproduce, distribute, or create derivative works without our consent.
Privacy and Data Handling
Our Privacy Policy explains how we collect and handle personal and campaign/account data. By using our services you consent to the collection, use, and disclosure described in that policy.
Third-Party Services
Our services leverage third-party infrastructure for delivery and security, including Cloudflare (for website hosting, DNS, and security challenges via Turnstile) and Google Workspace (for scheduling and email). By using our site, you acknowledge that certain interaction data (e.g., successful Turnstile verification) is processed by these providers to enable the requested service.
Dispute Resolution
Any disputes arising out of or related to these Terms will be governed by the laws of the State of Arizona, without regard to conflict of law rules. If a dispute cannot be resolved informally, the parties agree to submit to the exclusive jurisdiction of the state or federal courts located in Maricopa County, Arizona.
Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted here with a new "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
